LPT Aperture Holdings, the parent company of LPT Realty and Aperture Global Real Estate, has confidentially submitted a draft registration statement to the Securities and Exchange Commission (SEC) for a proposed initial public offering (IPO) of its common stock, the company announced on Thursday. The Lake Mary, Florida-based company said the filing was made on Form S-1 and that the size of the offering and price range have not been determined. The initial public offering is expected to occur after the SEC completes its review process, subject to market conditions and other factors, according to the announcement. The company issued the statement under Rule 135 of the Securities Act of 1933. The notice is not an offer to sell or a solicitation of an offer to buy any securities. Any sale of securities would be made only by means of a prospectus that meets Securities Act requirements, the company said. Confidential S-1 submissions allow companies to begin the SEC review process outside public view, providing flexibility on timing and the option to delay or withdraw an offering if market conditions deteriorate.
